1. Acceptance of Terms

By accessing or using the Nukta Technologies Ltd. ("Nukta") website, you agree to be bound by these Terms & Conditions. If you do not agree, please refrain from using our website.

2. Scope of Agreement & Proposals

This website is informational. Any client engagement, project deliverables, timelines, and costs are governed by a separate, signed Master Services Agreement (MSA) or Statement of Work (SOW), which prevails in the event of any conflict with this website.

Quotes provided via form responses or email inquiries are non-binding estimates until formal countersignature by an authorized officer of Nukta.

3. Intellectual Property Rights

Client Ownership: Upon settlement of all invoices in full, the client owns 100% of the custom deliverables, custom source code, and design files produced specifically for the client.

Pre-existing Tools: Nukta retains ownership of pre-existing frameworks, libraries, modules, and internal code assets. Nukta reserves the right to showcase completed non-confidential work in portfolio case studies unless the client opts out in writing prior to project kickoff.

4. Third-Party Platforms Disclaimer

Advertising performance and organic reach on third-party platforms (such as Meta, Google, TikTok, or WhatsApp) are dependent on policies, algorithms, and technical changes implemented by those platforms. Nukta does not control third-party policy decisions or algorithm updates.

5. No Guarantee of Specific Results

While Nukta applies industry best practices to software engineering and marketing campaigns, Nukta makes no express or implied guarantees regarding specific monetary revenue, ROI percentage, search engine rankings, or advertising impression counts.

6. Limitation of Liability

To the maximum extent permitted by law, Nukta shall not be liable for any indirect, incidental, or consequential damages. Total cumulative liability arising under any claim shall be capped at the fees actually paid by the client to Nukta for the specific service giving rise to the claim.

7. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka or Jashore, Bangladesh.
